GearHedd — Terms of Service

These Terms of Service ("Terms") are a legally binding agreement between you ("you," "your," or "User") and GearHedd LLC ("GearHedd," "we," "us," or "our"), governing your access to and use of the GearHedd website at gearhedd.com, any related subdomains, applications, and services we provide (collectively, the "Service").

PLEASE READ THESE TERMS CAREFULLY. By creating an account, accessing, or using the Service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you do not agree, do not use the Service.

These Terms contain a limitation of liability (Section 15), a disclaimer of warranties (Section 14), an indemnification obligation (Section 16), and provisions governing dispute resolution and governing law (Section 17). Please review them carefully.

1. Who We Are and What GearHedd Is

GearHedd is an online platform that lets vehicle owners and enthusiasts document their vehicle builds and maintenance, organize parts and service records, and optionally share their builds and profiles publicly with other users. The Service may include features such as build journals, modification and service logs, parts lists, cost tracking, photo galleries, social features (profiles, following, watching, feeds), search/discovery, and links to third-party products.

The Service is provided for informational, organizational, and community purposes only. See Section 9 (No Professional Advice).

2. Eligibility

You must be at least 13 years old to use the Service. If you are under the age of majority in your jurisdiction (typically 18), you may use the Service only with the involvement and consent of a parent or legal guardian who agrees to be bound by these Terms. By using the Service, you represent and warrant that you meet these requirements and that you have the legal capacity to enter into these Terms.

The Service is not directed to children under 13, and we do not knowingly collect personal information from children under 13. If you believe a child under 13 has provided us information, contact us at hello@gearhedd.com and we will take appropriate steps to delete it.

3. Your Account

To use most features, you must create an account.

Accurate information. You agree to provide accurate, current, and complete information and to keep it updated.
Security. You are responsible for safeguarding your login credentials and for all activity that occurs under your account. Notify us promptly at hello@gearhedd.com of any unauthorized use or security breach.
One person per account. You may not share your account or let others use it, and you may not create an account for anyone else without authorization.
Responsibility. You are responsible for everything done through your account, whether or not authorized by you.

We may refuse, suspend, or terminate accounts at our discretion, as described in Section 13.

4. Your Content

"User Content" means anything you submit, upload, post, or display through the Service — including vehicle information, build and service records, modifications, parts lists, prices and cost figures, photos, text, notes, links, your profile information, and any vehicle identifiers you choose to enter (such as a VIN or license plate).

You own your content. As between you and GearHedd, you retain all ownership rights in your User Content. We do not claim ownership of it.
License to us. You grant GearHedd a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, modify (for formatting and display), publish, publicly display, and distribute your User Content solely as necessary to operate, provide, improve, and promote the Service and as directed by your sharing settings. For example, if you make a build public, this license lets us display it to other users and generate link previews. This license ends when you delete the User Content or your account, except (a) to the extent it has been shared with others who have not deleted it, and (b) for reasonable backup copies retained in the ordinary course.
Your responsibility. You are solely responsible for your User Content and the consequences of posting it. You represent and warrant that: (i) you own or have the necessary rights to your User Content and to grant the license above; (ii) your User Content does not infringe or violate the rights of any third party (including intellectual property, privacy, and publicity rights) or any law; and (iii) your User Content is accurate to the best of your knowledge and not misleading.
No obligation to monitor. We are not obligated to monitor User Content, but we may review, remove, or restrict any User Content at our discretion, without notice, for any reason, including suspected violation of these Terms.

The Service lets you choose what to keep private and what to make public. You control your sharing settings, and you can change them at any time.

Public by your choice. Vehicles and profiles are private until you choose to make them public. When you make something public, it may be viewable by anyone, including people without a GearHedd account, may appear in search engines, and may be displayed as link previews when shared.
Information you choose to publish. Some information carries real-world risk if made public — including your VIN, license plate, location, photos, and cost or valuation information. You decide whether to publish these. By choosing to make such information public, you acknowledge and assume the risks of doing so, including the risk that others may misuse it (for example, vehicle "cloning," fraudulent registration, theft targeting, or unwanted contact). We provide warnings and keep sensitive fields off by default, but the decision and the responsibility are yours.
Others' information. Do not publish another person's personal information (including their VIN, plate, address, or photos) without their permission.
No guarantee of privacy. No method of transmission or storage is completely secure. While we take reasonable measures to protect your information, we cannot guarantee that private content will never be accessed by unauthorized parties.

6. Acceptable Use

You agree not to, and not to permit anyone else to:

post content that is unlawful, infringing, defamatory, harassing, hateful, threatening, fraudulent, obscene, or otherwise objectionable;
impersonate any person or entity, or misrepresent your affiliation with a person or entity;
publish another person's private or identifying information without authorization;
post false, deceptive, or manipulated information (including fabricated build histories, costs, or specifications presented as genuine);
use the Service to advertise or solicit, or to send spam or unsolicited communications, except as expressly permitted by us;
upload viruses, malware, or any code intended to disrupt, damage, or gain unauthorized access to the Service or any system;
scrape, harvest, crawl, or use automated means to access or collect data from the Service except as expressly permitted in writing by us;
attempt to probe, scan, circumvent, or breach any security or authentication measure, or access data not intended for you;
reverse engineer, decompile, or attempt to derive the source code of the Service except where such restriction is prohibited by law;
interfere with or place an unreasonable load on the Service or its infrastructure;
use the Service to violate any applicable law or regulation, or the rights of any third party; or
use the Service for any commercial purpose not expressly authorized by us.

We may investigate and take any action we deem appropriate for violations, including removing content, suspending or terminating accounts, and reporting to law enforcement.

7. Intellectual Property in the Service

The Service itself — including its software, design, text, graphics, logos, the "GearHedd" name and marks, and all related intellectual property (excluding User Content) — is owned by GearHedd or its licensors and is protected by intellectual property laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Service for your own non-commercial use in accordance with these Terms. No other rights are granted. You may not copy, modify, distribute, sell, or lease any part of the Service except as expressly permitted.

8. Feedback

If you send us suggestions, ideas, or feedback about the Service, you agree we may use them without restriction or compensation to you, and you grant us a perpetual, irrevocable, royalty-free license to use and incorporate them.

9. No Professional Advice

The Service and its content — including maintenance schedules, service intervals, recommended parts, modification information, compatibility suggestions, cost estimates, "logged spend" or valuation figures, and any data derived from user inputs — are provided for general informational and organizational purposes only. They are not professional mechanical, engineering, safety, legal, financial, tax, insurance, or appraisal advice, and they are not a substitute for inspection or advice from a qualified professional.

Cost, spend, and valuation figures shown in the Service are derived from information entered by users and are not independently verified by GearHedd. Do not rely on them as accurate, complete, or current. Always consult a qualified professional and verify safety- and roadworthiness-critical work independently. You are solely responsible for any decisions you make and any work you perform based on information from the Service.

10. Affiliate Links and Third-Party Products

The Service may contain links to third-party websites, merchants, and products, including affiliate links through which we may earn a commission if you make a purchase, at no additional cost to you. We display an affiliate disclosure in the Service. GearHedd does not sell, ship, warrant, or service third-party products and is not responsible for third-party websites, products, prices, availability, or transactions. Your dealings with third parties are solely between you and that third party, and are subject to their terms and policies. Inclusion of a link or product is not an endorsement, and we make no representation about the suitability, safety, or fitment of any third-party product for your vehicle.

11. Third-Party Services

The Service relies on third-party providers (for example, hosting, database, authentication, and storage services). Your use of the Service may also be subject to those providers' terms. We are not responsible for the acts or omissions of third-party providers.

12. Copyright / DMCA

We respect intellectual property rights. If you believe content on the Service infringes your copyright, send a notice to hello@gearhedd.com with: (a) your contact information; (b) identification of the copyrighted work; (c) identification of the allegedly infringing material and its location on the Service; (d) a statement that you have a good-faith belief the use is not authorized; (e) a statement, under penalty of perjury, that your notice is accurate and you are authorized to act; and (f) your physical or electronic signature. We may remove allegedly infringing content and terminate repeat infringers.

13. Suspension and Termination

You may stop using the Service and delete your account at any time. We may suspend, restrict, or terminate your access to the Service (in whole or in part) at any time, with or without notice, for any reason, including if we believe you have violated these Terms or to protect the Service or other users. Upon termination, your right to use the Service ends. Sections that by their nature should survive termination — including Sections 4 (license), 9, 10, 14, 15, 16, 17, and 18 — will survive.

14. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, GEARHEDD DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

GEARHEDD DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, THAT DATA WILL BE ACCURATE OR PRESERVED, OR THAT THE SERVICE WILL MEET YOUR REQUIREMENTS. ANY CONTENT OBTAINED THROUGH THE SERVICE IS ACCESSED AT YOUR OWN RISK, AND YOU ARE SOLELY RESPONSIBLE FOR ANY RESULTING DAMAGE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY EXCLUSIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, GEARHEDD AND ITS OWNERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, ANY USER CONTENT, ANY THIRD-PARTY PRODUCTS OR CONDUCT, OR ANY VEHICLE WORK, PURCHASE, SALE, OR DECISION MADE IN CONNECTION WITH THE SERVICE — WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, GEARHEDD'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNTS YOU PAID GEARHEDD IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. THESE LIMITATIONS ARE AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN YOU AND GEARHEDD.

16. Indemnification

You agree to defend, indemnify, and hold harmless GearHedd and its owners, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your User Content; (b) your use of the Service; (c) your violation of these Terms or any law; (d) your violation of any third party's rights, including from information (such as a VIN, plate, or photos) you chose to publish; or (e) any dispute between you and another user or third party. We may assume the exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate with us.

17. Governing Law; Dispute Resolution

These Terms are governed by the laws of the State of Georgia, without regard to its conflict-of-laws rules.

Informal resolution first. Before filing any claim, you agree to contact us at hello@gearhedd.com and attempt to resolve the dispute informally for at least 30 days.

Venue. Except where prohibited by law, you and GearHedd agree that any dispute not resolved informally will be brought exclusively in the state or federal courts located in Cherokee County, Georgia, and you consent to personal jurisdiction and venue there.

18. Changes to the Terms and the Service

We may modify these Terms at any time. If we make material changes, we will take reasonable steps to notify you (for example, by posting the updated Terms with a new "Last updated" date or by notice in the Service). Changes are effective when posted. Your continued use of the Service after changes take effect constitutes acceptance. If you do not agree, stop using the Service and delete your account.

We may also change, suspend, or discontinue any part of the Service at any time, and we are not liable to you for doing so.

19. Miscellaneous

Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and GearHedd regarding the Service and supersede any prior agreements.
Severability. If any provision is held unenforceable, the remaining provisions remain in full effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.
No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
Assignment. You may not assign these Terms without our consent. We may assign them freely, including in connection with a merger, acquisition, or sale of assets.
No third-party beneficiaries. These Terms do not create any third-party beneficiary rights.
Force majeure. We are not liable for any delay or failure to perform due to causes beyond our reasonable control.
Relationship. Nothing in these Terms creates any partnership, joint venture, employment, or agency relationship between you and GearHedd.
